Welcome to the website of The Vinod Learning Center which is a legally registered DBA of The Davidson Center for Learning, LLC (“Company,” “we,” “our,” or “us”). These Terms of Use and Legal Notice (“Terms”) govern your access to and use of our website and all services we provide, including in-person and virtual tutoring. By using our site or our services, you agree to these Terms. If you do not agree, you must discontinue use immediately.

This site and all related services are provided by:

This company has filed and maintains the following Assumed Business Names (DBAs) with the North Carolina Secretary of State, pursuant to Chapter 66, Article 14A of the North Carolina General Statutes:

  • The Davidson Center for Learning — Assumed Business Name No. 3061655

  • The Davidson Center 4 Learning — Assumed Business Name No. 3101914

  • The Vinod Learning Center — Assumed Business Name No. 3101912

All of these names legally refer to, and are authorized for use by, the same business entity:The Davidson Center for Learning, LLC.

2. State of North Carolina HUB Certification

The Davidson Center for Learning, LLC is certified as a Historically Underutilized Business (HUB) by the State of North Carolina, Office for Historically Underutilized Businesses (HUB Office), within the Statewide Uniform Certification (SWUC) Program.

  • Certification Number: HUB-4037732

  • Certification Status: Active

  • Certification Term: Four (4) years from October 30, 2025

HUB certification signifies that the Company meets the eligibility requirements established by the State of North Carolina for participation in HUB programs. This certification does not constitute state endorsement of services and does not guarantee the award of any government contract.

The Company is listed in the State of North Carolina’s official HUB vendor database and is subject to audit, review, and ongoing compliance requirements as administered by the HUB Office.

3. Intellectual Property Ownership

All content on this website, including text, graphics, images, logos, videos, and educational materials, is owned by or licensed to The Davidson Center for Learning, LLC.

You may not:

  • Copy

  • Reproduce

  • Distribute

  • Modify

  • Republish

  • Create derivative works

from any portion of our content without written permission.

We grant you a limited, revocable license to view and use content for personal, non-commercial purposes related to our services.

4. Tutoring Services (In-Person and Virtual)

We provide tutoring and academic support services in person and through virtual platforms, including Zoom and Google Meet.

Parental Consent for Minors

If the student is under 18, a parent or legal guardian must authorize participation and is responsible for overseeing the student’s use of our services.

Virtual Session Requirements

By joining a virtual session, you agree to:

  • Use required third-party platforms under their respective terms

  • Ensure your own device, software, and internet connection function properly

  • Take responsibility for any disruptions caused on your end

We are not liable for technical issues caused by your equipment, internet service, or third-party platform outages.

If a disruption originates on our end, we will make reasonable efforts to reschedule or extend the session, at our discretion.

Student Conduct

We reserve the right to terminate services — without refund — if a student or parent engages in abusive, disruptive, or inappropriate behavior.

5. No Guarantee of Academic Outcomes

We do not guarantee:

  • Any specific grade

  • Any specific test score (SAT, ACT, etc.)

  • Admission to any school or program

  • Qualification for any scholarship or award

  • Future earnings or opportunities

Academic performance depends on many factors outside our control, including effort, attendance, learning pace, study habits, and test conditions.

You acknowledge that:

  • Results vary by student

  • Testimonials represent past experiences, not guarantees

  • You bear full responsibility for how you use the guidance provided

We are not liable for missed scholarships, admissions outcomes, academic failures, or alleged lost future earnings.

6. Payment Terms and 24-Hour Cancellation Policy

Preferred Payment Methods

  • Zelle

  • Cash

  • Check

Other payment apps (e.g., Venmo) may be accepted with a small administrative fee.

Client Responsibility

You are solely responsible for:

  • Sending payments to the correct account

  • Double-checking provided details

We are not responsible for misdirected payments, user errors, or platform-related issues.

Refunds and Cancellations

  • Sessions canceled 24 hours or more in advance → no fee

  • Sessions canceled with less than 24 hours notice → charged full fee

  • No-shows → charged full fee

  • Emergency exceptions may be made at our discretion

If we must cancel a session, you may reschedule or receive a refund/credit for prepaid time.

 

7. Third-Party Tools and External Services

We use external services including, but not limited to:

  • Zoom

  • Google Meet

  • Wix (website platform)

  • Google Maps

  • Zelle, Venmo (payment platforms)

These third-party services:

  • Have their own terms and privacy policies

  • May experience outages or security events

  • Are outside our control

We are not liable for:

  • Errors

  • Outages

  • Data breaches

  • Delays

  • Accessibility issues

  • Technical failures

related to any third-party platform.

 

8. Physical Accessibility Disclosure

Our business operates at:

This location is on the second floor and includes stairs.
It is not fully wheelchair accessible.

We gladly offer:

  • Virtual tutoring as an alternative

  • Reasonable accommodations upon request

10. Acceptable Use of Website and Services

You agree not to:

We do not warrant that:

We disclaim all express or implied warranties to the fullest extent permitted by law.

 

12. Limitation of Liability

To the maximum extent permitted by law:

We are not liable for:

  • Indirect, incidental, or consequential damages

  • Loss of opportunities or missed scholarships

  • Loss of data or profits

  • Emotional distress

  • Platform outages

  • Technical failures

  • Academic performance consequences

Our total liability, under any circumstance, is capped at the amount you paid for the specific service in question.

 

13. Indemnification

You agree to indemnify and hold harmless:

and its owners, employees, contractors, tutors, and agents

from any claims or damages arising from:

  • Your misuse of the site or services

  • Your violation of these Terms

  • Your infringement on someone else’s rights

This obligation survives termination of services.

 

14. Severability

If any part of these Terms is found invalid or unenforceable, the remaining portions remain fully enforceable.

 

15. Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law rules.

 

16. Dispute Resolution (Mediation First)

If a dispute arises:

  1. Both parties agree to attempt informal resolution

  2. If unresolved, both parties agree to attempt mediation in the Charlotte/Mecklenburg region

  3. If still unresolved, disputes must be filed exclusively in the state or federal courts of Mecklenburg County, NC

Both parties consent to jurisdiction in Mecklenburg County.

 

17. Right to Modify Terms

We may update these Terms at any time.
The latest version will always be posted on this page.

Your continued use of the site or services constitutes acceptance of the updated Terms.

 

18. Entire Agreement

These Terms, together with our Privacy Policy and any other referenced policies, make up the entire agreement between you and The Davidson Center for Learning, LLC.
